How we made this: The information is based on the publicly available records of the US government and companies. The Microsoft example is based on the earnings release of Microsoft itself for its fiscal year 2026 and SEC filing, verified on October 14, 2026. AI tools were used to arrange the notes and improve the wording. [YOUR NOTE: verify that a human accessed and verified all sources before retaining this sentence.] Private databases and paid platforms have not been consulted for the example company. Make sure to use the most recent documents when making a business decision.

Introduction

Imagine this. The supplier provides you with a professional proposal. The website is professional, the price is reasonable, and the response from the salesperson is immediate. Then you check out the name of the company in the state business register, and you find nothing there. It might be a trade name. It may be another legal form. It might even be trouble. The point is, you can’t tell at this moment, and that is precisely the case a research dossier is made for.

[YOUR TRUE STOIRE HERE IF YOU HAVE ONE, OPTIONALLY. TWO OR THREE SENTENCES WILL BE FINE.]

A research dossier about the target company is an outdated, properly sourced document with all available facts that you can establish about the legal entity: its identity, its ownership and management, products offered, revenues and profit model, risks and unknowns. You compile this dossier to help you make the particular decision.

For the purposes of this guide, “the target company” is simply the subject of the research. It doesn’t relate to Target Corporation, the American retailer.

What you will learn: a 12-section framework, the map of US record sources, a nine-point process, a sample, an AI workflow and the prompt for it, and a grading tool for evidence as well as the template itself.

Before we go any further, a note of caution. This guide is for informational purposes only and does not constitute any kind of legal, financial, or investment advice.

Key Takeaways

  • Identify what information is important before you begin gathering any data.
  • Primary sources should always be your first stop. The SEC, state business listings, and USPTO have more weight than some generic website you found.
  • Private companies will not release as much information compared to public ones; take note of this and make notes for the discrepancies.
  • You can use AI tools to synthesize and organize the information, but you cannot use AI to verify the data yourself.
  • Everything needs to be tagged with either Confirmed, Company Claim, Estimate, or Unverified.

What Is a Research Dossier for a Target Company?

Business researcher reviewing a folder of company documents with highlighted notes to build a research dossierOne document on one company that is supposed to assist you in making one decision is called a dossier. In contrast to a bunch of search results, a dossier provides source and date for each fact and preserves all uncomfortable information like risk factors, gaps in documentation, etc.

A standard company profile does not include such information.

There are several documents similar to dossiers, so here are their differences.

Document Type Purpose Depth Typical Users Time
Research dossier Support a decision Medium to deep Sales teams, recruiters, analysts, founders A few hours for a first pass
Company profile Describe a business Usually light Marketing and media teams Often under an hour
Due diligence Examine a transaction Deep and deal-specific Lawyers, accountants, investors, buyers Days to weeks
Sales battlecard Help win competitive deals Narrow and focused Sales reps A short session

These numbers are just guidelines for your planning purposes. The actual amount of work will depend on the complexity of the company, its international presence, and litigation history.

Who Needs a Dossier about the Target Company, and How Detailed Should It Be?

Your research efforts should be proportionate to the potential risk involved. You need to know much more to make a deal or buy a business than just for an interview.

Use case Depth Focus on Rough planning time
Sales call prep Light Identity, products, leadership, hiring signals 15 to 30 minutes
Job interview Light to medium Products, leadership, reputation, financial health 30 to 60 minutes
Vendor or partner review Medium to deep Identity, ownership, legal records, reputation, finances 2 to 4 hours
Competitor analysis Medium Products, pricing, market, digital presence 1 to 3 hours
Early investor screening Deep Financials, leadership, legal matters, risks 3 to 5 hours
Acquisition Professional review Financial, legal, operational, tax records Depends on the deal

These are estimates for planning purposes. [ADD YOUR MEASURED TIME: When we conducted this test for [company], the complete dossier was prepared by us in X hours manually and Y hours assisted by AI.] Use the first dossier for screening purpose only. It is not a substitute for professional due diligence.

URL of the Target Company can be found in Section 11. This section is used to prove that the site you have chosen is the official one of the company you are researching.

US Company Information Sources

Researcher comparing printed company filings with a laptop to verify US company information from primary sourcesGo directly to the primary source and not a secondary website. There are huge differences in the responsibilities of the disclosure between private and public firms.

Question Public company Private company or startup
What did the company report? SEC EDGAR: 10-K, 10-Q, 8-K Public disclosures, where they exist
Who leads the business? Proxy statements, official filings Company website, press releases, registry records
Does the legal entity exist? State business registry State business registry
Has it disclosed fundraising? Relevant SEC filings SEC Form D, funding databases
Are there recorded liens? State UCC records State UCC records
Are there federal lawsuits? PACER and court records PACER and state court records
Are trademarks registered or pending? USPTO trademark search USPTO trademark search
Has it received federal awards? USAspending.gov, SAM.gov Same
Any safety or environmental records? OSHA, EPA ECHO Same, where they apply
Any consumer complaints? CFPB, FTC actions, BBB Same, where they apply
Any sanctions concerns? OFAC sanctions search Same
Any cross-border registry record? OpenCorporates OpenCorporates

Access depends on the state as well as the instrument. In case of failure to find an entry, you should write “Entry is not available in the used source” and the date. This is different from “there is no such entry in the registry.” Some records require payment or requesting.

The entity type shown in the registry matters, so if you’re unsure what the difference means in practice, our guide on LLC vs. corporation covers the basics.

How to Build the Dossier Step by Step

  1. State your decision. This needs to be a single sentence stating that “I need to decide whether this company can be a reliable supplier for us.” This sentence defines which data is relevant for your research and which is not.
  2. Identify the company. Many companies have similar names, and the brand name differs from the registered name. Therefore, it’s necessary to identify the correct legal name of the company as well as its registered state, city, and parent company (if available).
  3. Confirm the official website. Verify the footer of the website and the registry records. All contact information, company description, and social profiles must link to the same domain. Be careful with alternative websites using the same name but a different ending or a slightly modified (swapping of letters, adding additional words) domain name. Most companies use .com, .io, .ai, and .co domains.
  4. Search for primary sources. The sources include records from state registries, SEC filings, trademarks, and court filings. For each source, provide a URL, title of the document, date of the publication, and date of accessing the record. The person should be able to repeat the search.
  5. Identify secondary sources. Newspaper articles, customer reviews, research papers, and funding databases may provide you with additional clues. They are useful only as pointers to primary sources and not as replacement to them.
  6. Verify and label all claims. Be very attentive to company name, dates, numbers, and reporting periods. For each claim state whether it was Confirmed, Company claim, Estimate, or Unverified, and grade the evidence.
  7. Analyze. Perform SWOT (strengths, weaknesses, opportunities, threats) analysis briefly. Separate facts and opinions on those facts. State the risks that may affect your recommendation.
  8. Write an executive summary. Begin with your recommendation. Include three most important facts and three biggest unknowns. The reader who decides to skip all other sections must understand your conclusions and its limitations.
  9. Establish a review date. Review your report whenever there is a major decision regarding this company. Also update when there is a change in leadership, lawsuit, or finances.

[YOUR MEASURED TIME, OPTIONAL: if you tracked how long each step took, add it here, for example “Step 3 took us about X minutes.”]

How to Research a Target Company’s URL

  • Match the legal name in the site footer to the state registry.
  • Check that official social profiles link back to the same domain.
  • Read the About, Careers, Privacy, and Terms pages for consistent names and contact details.
  • Compare the domain and contact details with independent sources.
  • Treat a polished site as a starting point, not proof.

A mismatch is a reason to dig deeper, not proof of fraud. Companies use brand names, subsidiaries, and regional domains all the time.

Worked Example: Microsoft Corporation

This example uses Microsoft’s own earnings release and SEC filing. It shows how to tie findings to primary sources. It isn’t advice to buy, sell, or hold Microsoft securities.

Research date: October 14, 2026
Company: Microsoft Corporation (ticker: MSFT)
Purpose: A public-company screening dossier

One-page summary

  • Business: Microsoft makes software, cloud services, devices, and related products.
  • Legal and filing record: The SEC lists Microsoft Corporation as a reporting company incorporated in Washington, with a June 30 fiscal year-end.
  • Latest reported results: For the fiscal year ended June 30, 2026, Microsoft reported revenue of $331.8 billion and operating income of $155.2 billion, according to its July 29, 2026 earnings release.
  • Leadership: Satya Nadella is chairman and CEO, and Amy Hood is executive vice president and CFO, per Microsoft’s own materials. Confirm the current titles against the latest proxy statement.
  • Main limit: This example does not cover litigation, liens, sanctions, reputation, or every subsidiary.

Evidence and findings

Item Finding Primary source
Legal and filing identity Microsoft Corporation; Washington incorporation; fiscal year ends June 30 SEC filing record (Form 10-K)
FY2026 revenue $331.8 billion Microsoft FY2026 earnings release, July 29, 2026
FY2026 operating income $155.2 billion Microsoft FY2026 earnings release, July 29, 2026
Chief financial officer Amy Hood Microsoft FY2026 earnings release
Legal matters and other risks Not assessed in this example Needs separate, dated record searches

Note that every figure above comes from the same fiscal year. Mixing reporting periods is one of the most common mistakes in company research, so a good dossier keeps them lined up.

What this example shows

A solid dossier separates what you verified from what you didn’t. Microsoft’s revenue traces straight back to its own release. A statement like “Microsoft has no legal problems” can’t be made without searching court and regulatory records, and this example didn’t do that.

[YOUR SCREENSHOTS: add 3 or 4 real screenshots here: the SEC filing page, the financial statement, and your evidence log. Give each one descriptive alt text.]

How to Use AI to Build a Research Dossier

Professional using an AI assistant on a laptop while fact-checking against printed documents for a research dossierAI assistants are useful for organizing notes, spotting possible sources, and drafting short summaries. They can also misread a document, confuse two companies with similar names, or produce a citation that doesn’t actually support the claim.  If you want to understand why this happens, read our explainer on why ChatGPT gives wrong answers. So treat AI as a fast assistant, not as a source.

A four-stage workflow

  1. Scope. State the purpose and confirm the exact company.
  2. Collect. Use AI to suggest likely sources and organize what you find.
  3. Verify. Open each source yourself and check the specific statement.
  4. Synthesize. Ask AI to summarize only the verified material, then edit the final wording yourself.

A copy-and-paste prompt

You are a research assistant. Target company: [legal name], [official domain], [headquarters state]. Research purpose: [sales call, interview, vendor review, or other].

For each dossier section, give me the finding, the direct source URL, the publication date if available, and the date accessed. Label each finding as Confirmed, Company claim, Estimate, or Unverified.

Use primary sources wherever possible. Separate reported facts from estimates and analysis. If a source isn’t available, say “Not found in the source checked.” Do not invent facts, citations, legal findings, financial figures, or research results. List the gaps that need human verification.

Verification rules

  • Open every cited link and confirm it supports the statement.
  • Check the date and the reporting period.
  • Match the company name against the registry or filing.
  • Compare figures with the original document.
  • Delete unsupported claims or label them Unverified.
  • Keep a record of changes and who reviewed them.

Use this structure:

  • Prompt used: [paste it]
  • Model and date: [name, version, date]
  • What the AI said: [the incorrect output]
  • What the original source says: [the correct information, with link]
  • How we fixed it: [your correction]

Once your dossier is done, you can use the verified findings to personalize outreach. Our guide on using ChatGPT to write emails can help with that.

Evidence Log and Confidence Grades

An evidence log links each claim to the record behind it. It also shows readers whether a claim comes from an official filing, a company statement, or an estimate.

  • Grade A: A direct primary source, such as a government filing or official record.
  • Grade B: A reputable secondary source that supports the finding.
  • Grade C: Weak, incomplete, or self-reported evidence that needs more checking.

A grade describes the source, not whether the conclusion is right.

Claim Source Period or date Accessed Label Grade
Microsoft FY2026 revenue was $331.8 billion Microsoft earnings release FY ended June 30, 2026 Oct. 14, 2026 Confirmed A
Microsoft FY2026 operating income was $155.2 billion Microsoft earnings release FY ended June 30, 2026 Oct. 14, 2026 Confirmed A
Microsoft released FY2026 results on July 29, 2026 Microsoft 8-K / SEC filing July 29, 2026 Oct. 14, 2026 Confirmed A

[YOUR LINKS: add the direct URL for each source in this table.]

In a real investigation, give every important claim its own row. If a source doesn’t support a statement, fix the statement or remove it. For more on source credibility, see our guide to what E-E-A-T is and how to demonstrate it.

Red Flags to Watch For

These are reasons to look closer, not proof of wrongdoing. Weigh the whole picture, and give the company a fair chance to explain any inconsistency.

  • The website’s legal name conflicts with registry records.
  • A very new business makes big claims you can’t verify.
  • Leadership details are missing or don’t match across sources.
  • Several credible sources report the same unresolved complaints.
  • Court records show a pattern of relevant lawsuits.
  • Job postings or announcements contradict other evidence.
  • Important claims appear only on the company’s own site.
  • Contact details change from page to page without explanation.

For another example of checking a company before you commit, read our look at what to verify before hiring Aelftech.com.

Common Mistakes

  • Trusting AI output without opening the sources.
  • Researching the wrong company because the names are similar.
  • Comparing results from different reporting periods.
  • Treating estimates as confirmed facts.
  • Leaving out a note when a search finds nothing.
  • Assuming “no results” means “no problem.”
  • Forgetting to update the dossier when things change.

A good dossier makes uncertainty visible. It never turns missing information into a good or bad conclusion.

Legal and Ethical Boundaries

Laptop displaying a structured spreadsheet template for a free research dossier with rows for sources and findingsUse only lawfully available business information, and read each source’s terms before collecting or reusing data. Some sites restrict automated scraping or certain uses. Follow the privacy and data-protection rules that apply to you.

Researching individuals for hiring, credit, or other regulated decisions can trigger extra legal requirements. Talk to qualified counsel before relying on a dossier for those purposes. This guide is not legal advice.

Free Research Dossier Template

Build your own copy in a spreadsheet or document using the 12-section structure above.

  1. Start with the company’s legal name, official website, research purpose, and review date.
  2. Add one row for every important claim: direct source URL, publication date, access date, evidence label, and confidence grade.
  3. Finish with your main findings, open questions, risks, and recommendation.
  4. Where a search finds nothing, write “Not found in the source checked” and the date.

That gives you a repeatable record you can update as new information comes in.

Conclusion

A useful dossier is sourced, dated, and honest about what it doesn’t know. Start with the decision, lean on primary records, let AI help you organize, and check every important claim yourself. Grade your evidence, record the gaps, and update the report when new facts appear.

Your next step: copy the 12-section structure, pick a company, and build a one-page summary backed by an evidence log.

FAQs

What is a research dossier for a target company?

It’s a dated report that collects sourced information about one company to support a decision. It usually covers legal identity, ownership, leadership, products, finances, competitors, reputation, and risks.

What should a company research dossier contain?

Twelve areas: identity, ownership, leadership, products, business model, finances, competitors, hiring signals, legal and regulatory matters, reputation, digital footprint, and risks. Keep an evidence log for your important claims.

How do I research a private company in the US?

Start with the Secretary of State registry in the company’s state and its official website. Then check available SEC filings, UCC records, federal and state court records, USPTO records, reputable news, and customer reviews. Private companies disclose less, so label estimates and gaps clearly.

Where can I find company information for free in the US?

Try SEC EDGAR, state business registries, USPTO search, SAM.gov, USAspending.gov, OSHA, EPA ECHO, and OFAC. The CFPB and FTC also publish consumer and enforcement information. Most are free to search, though some records cost money. PACER generally charges $0.10 per page, with caps and quarterly fee waivers under its published rules.

Can ChatGPT, Claude, or Gemini create a company research dossier?

They can help you organize findings, summarize documents, and suggest sources. They can also make mistakes or produce citations that don’t hold up. Ask for direct URLs and dates, check every important claim against the original, and label anything uncertain.

How can I confirm a company’s official website?

Compare its legal name with the state registry, then check contact details and official social profiles. Read the About, Careers, Privacy, and Terms pages for consistency. Look into look-alike domains and unexplained mismatches instead of assuming a professional design means the site is real.
